1. Minimum Partners: To form an LLP, you must have a minimum of two partners, with no upper limit on the number of partners. These partners can be individuals or other legal entities such as corporations.

2. Designated Partners: At least two partners must be designated as designated partners. These individuals are responsible for the day-to-day operations and compliance of the LLP. Designated partners must have a Director Identification Number (DIN).

3. Resident Partner: At least one of the partners must be a resident of India, which means that the individual must have lived in India for at least 182 days in the preceding year.

LLP Registration Process

3. Choose the LLP Name: Next, choose a unique name for your LLP. The name must comply with the naming guidelines laid out by the MCA. You can check the availability of the name using the MCA name availability tool. The name must not be identical or like any existing company or LLP.

4. Draft the LLP Agreement: The LLP Agreement is a vital document that outlines the rights, duties, and responsibilities of the partners. It should include the profit-sharing ratio, capital contributions, and the management structure of the LLP. This agreement must be signed by all partners and filed with the MCA.

5. File the Incorporation Form (FiLLiP): The next step is to file Form FiLLiP (Form for Incorporation of LLP) online. In this form, you must provide details such as the LLP's name, registered office address, the nature of the business, and details of the partners. You will also need to upload the LLP Agreement and the documents for the partners.

6. Receive the LLP Registration Certificate: Once the LLP registration application is verified and approved, the MCA issues the LLP Registration Certificate. This certificate confirms the registration of the LLP and marks the company as a legal entity. It usually takes 7 to 10 working days to process the application if all documents are in order.

(b) Identity proof (Aadhaar card, Passport, Voter ID, etc.) of all partners.

(c) Address proof (Utility bill, Bank statement, or Rent agreement) of the registered office.

(e) Director Identification Number (DIN) for the designated partners.

(f) LLP Agreement outlining the partnership terms.

(g) Bank statement or cancelled cheque of the LLP’s bank account.

The LLP Registration Fees in India depend on the amount of capital contribution and the state in which the LLP is being registered. Generally, the fees are:

(a) Up to ₹1 lakh: ₹500

(b) ₹1 lakh to ₹5 lakh: ₹2,000

(c) ₹5 lakh to ₹10 lakh: ₹4,000

(d) Above ₹10 lakh: ₹5,000
